Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms on behalf of yourself or your business.

2. Accounts

• You are responsible for maintaining the security of your account credentials
• You must provide accurate, complete information when creating your account
• You are responsible for all activity that occurs under your account
• We may suspend or terminate accounts for abuse, fraud, violation of these Terms, or non-payment

3. What REUP Does

REUP is a SaaS coordination platform for e-commerce operators. It:

• Connects to your Shopify or WooCommerce store via OAuth to sync inventory and order data
• Monitors stock levels, predicts depletion, and generates AI-powered reorder recommendations
• Creates and emails purchase orders to your suppliers on your behalf, and parses their quote replies
• Routes dropship orders to suppliers and tracks fulfillment (Dropship mode)
• Sends you digest emails and SMS alerts summarizing store activity
• Provides an AI customer service widget for your store (Pro plan)

4. Payments — Subscription Billing

• Paid plans (Dropship $99/mo, Basic $299/mo, Pro $499/mo, Enterprise custom) are billed monthly via Stripe
• A 7-day free trial is available on first sign-up; no credit card required to start
• Subscription fees are non-refundable except as required by applicable law
• We may update pricing with 30 days' notice; continued use constitutes acceptance of the new price
• Failed payments may result in downgrade to a free tier or account suspension

5. Supplier Payments — Not Processed by REUP

REUP does not process, hold, transmit, or facilitate purchase order payments. When you approve a PO, REUP emails you your supplier's payment instructions. You pay your supplier directly using your supplier's preferred method (bank transfer, PayPal, wire transfer, or other). REUP is not a payment processor, money transmitter, or financial intermediary with respect to supplier payments.

• You are solely responsible for paying your suppliers correctly and on time
• You are responsible for resolving any disputes with suppliers directly
• REUP has no liability for failed, incorrect, or disputed supplier payments

6. Store Integrations

• You authorize REUP to access your connected store's data (products, inventory, orders) to provide the Service
• You remain responsible for complying with Shopify's, WooCommerce's, and any platform's Terms of Service
• You can disconnect integrations at any time from Dashboard → Integrations
• We do not guarantee perfect sync accuracy; always verify critical inventory decisions with your store data directly

7. AI Features & Accuracy

• AI predictions (reorder quantities, depletion dates, digest summaries) are generated using your store data and are advisory only
• We do not guarantee the accuracy of AI predictions or that following them will prevent stockouts
• You are responsible for reviewing and approving all AI-generated POs and recommendations before acting on them

8. Intellectual Property

• REUP, its code, design, and all related materials are the property of Zrionix Technology INC
• You retain full ownership of your store data, product data, and supplier information
• You grant us a limited license to access and process your data solely to provide the Service

9. Limitation of Liability

• We are not liable for lost profits, data loss, stockouts, supplier disputes, fulfillment failures, or business interruption
• Our maximum aggregate liability is limited to the subscription fees you paid us in the 2 months preceding the claim
• The Service is provided "as is" without warranty of any kind, express or implied

10. Termination

• You may cancel your subscription at any time from Dashboard → Settings → Manage Subscription
• We may terminate or suspend your account for any reason (abuse, non-payment, legal risk) with or without notice
• Upon termination, your access to the Service ends. We may retain anonymized data per our Privacy Policy

11. Governing Law

These Terms are governed by the laws of the State of Oregon. Disputes shall be resolved in the state or federal courts of Deschutes County, Oregon.

12. Changes to Terms

We may update these Terms. Material changes will be communicated by posting the updated Terms here with a new effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
